1. Acceptance and Scope

These Terms of Service (“Terms”) govern the supply of all goods and services by IBIC GROUP LTD (hereafter “Pro-Measures”) to the Customer, regardless of the regional domain used (.nz, .au, .uk, or .com). By placing an order or using this website, the Customer acknowledges and accepts these Terms in full.

2. Ethical and Environmental Standards

Pro-Measures operates under a commitment to the highest standards of business and ethical behaviour:

  • Human Rights: We respect internationally recognised Human Rights as established in the Universal Declaration on Human Rights and the ILO Core Conventions.
  • Labour Standards: We maintain a zero-tolerance policy for child or forced labour.
  • Sustainability: We are dedicated to environmental preservation, integrating sustainable management principles into our everyday business operations.

3. Product Use and Liability

Pro-Measures products are industrial-grade measuring tools.

  • Chemical Compatibility: It is the user’s sole responsibility to verify the compatibility of Pro-Measures products (including Pro-Jugs and Pro-Buckets) with any specific chemicals or hazardous products.
  • Documentation: Material Data Sheets are available to assist with compatibility checks; however, Pro-Measures accepts no liability for loss or injury arising from the use of products in incompatible environments.
  • Liability Limitation: Any liability for defects is limited strictly to the replacement or repair of the goods or the cost of remedying the defect. We are not liable for any consequential, indirect, or special economic loss.

4. Orders, Pricing, and Payment

  • Quotations: Quotes are valid for 30 days from the date of issue.
  • Pricing: All prices are subject to the addition of freight, insurance, and GST. Prices are subject to change without notice prior to order acceptance.
  • Payment Terms: Payment must be made in full by the 20th day of the month following the date of the invoice.
  • Default: Overdue accounts may incur liquidated damages at a rate of 4% per month above the base lending rate of our primary banker.

5. Shipping, Risk, and Returns

  • Transfer of Risk: Risk of loss or damage passes to the Customer when the goods leave our warehouse. Insurance beyond the carrier’s limited liability is the Customer’s responsibility.
  • Delivery Dates: Any agreed delivery date is an estimate only; delays do not entitle the Customer to cancel an order.
  • Claims: Claims for incorrect goods or quantity must be submitted in writing within 7 days of delivery.
  • Returns: Returns are only accepted with prior agreement, must be sent freight-paid within 7 days, and may be subject to a 10% handling fee.

6. Intellectual Property

All designs, trademarks, and copyright materials relating to Pro-Measures products (including Pro-Jug™, Pro-Bucket™, and Pro-Scoop™) are the property of IBIC GROUP LTD. Unauthorised use of these trademarks or designs is strictly prohibited.

7. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes fall under the jurisdiction of the New Zealand courts.
